On 26 January 2012 Citadel Global Equities Fund S.a.r.l., Munsbach,
Luxembourg, informed us:
1. We notify you in accordance with sections 21 sub-section 1, 22
sub-section 1 sentence 1 no. 1 WpHG in the name and on behalf of
GEFS Holdings S.a.r.l., Munsbach, Luxembourg
that on 11 January 2012 our share in the voting rights in Phoenix Solar AG,
Hirschbergstraße 8, D-85254 Sulzemoos, Germany, has exceeded the threshold
of 3% and that our share in the voting rights at t hat day amounted to
3.42%, corresponding to 252,265 voting rights in Phoenix Solar AG.
All of these voting rights, amounting to 3.42%, corresponding to 252,265
voting rights in Phoenix Solar AG, were attributed in accordance with
section 22 sub-section 1 sentence 1 no. 1 WpHG via our subsidiary Citadel
Global Equities Fund S.a.r.l. which directly held these voting rights.
2. We further notify you in accordance with sections 21 sub-section 1, 22
sub-section 1 sentence 1 no. 1 WpHG in the name and on behalf of
Citadel Global Equities Master Fund Ltd, Grand Cayman, Cayman Islands
that on 11 January 2012 our share in the voting rights in Phoenix Solar AG,
Hirschbergstraße 8, D-85254 Sulzemoos, Germany, has exceeded the threshold
of 3% and that our share in the voting rights at that day amounted to
3.42%, Corresponding to 252,265 voting rights in Phoenix Solar AG.
All of these voting rights, amounting to 3.42%, corresponding to 252,265
voting rights in Phoenix Solar AG, were attributed in accordance with
section 22 sub-section 1 sentence 1 no. 1 WpHG via our subsidiaries GEFS
Holdings S.a.r.l. and Citadel Global Equities Fund S.a.r.I., the latter of
which directly held these voting rights.
3. Kenneth C Griffin
Kenneth C Griffin, USA, exceeded the 3% threshold of section 21 para. 1
WpHG on 11 January 2012 and at that time held 3.62%, corresponding to
266,721 voting rights of a total number of 7,372,700 voting rights in
Phoenix Solar AG.
Kenneth C Griffin was attributed all of these voting rights, i.e. 3.62%,
corresponding to 266,721 voting rights in Phoenix Solar AG pursuant to
section 22 para. 1 sentence 1 no. 6 WpHG in connection with section 22
para. 1 sentence 2 WpHG. Of these 3.62%, 3.42% corresponding to 252,265
voting rights in Phoenix Solar AG were directly held by Citadel Global
Equities Fund S.a.r.l.
